ZENmix Studio Export License

This Licensing Agreement ("Agreement") is a legal agreement between you (the "User" or "Licensee") and ZENmix by Jens Boje ("Licensor", "ZENmix"), governing your use of ZENmix music and/or sounds selected and exported through the ZENmix Studio as part of one finished meditation project ("Studio Export Content").

For the purposes of this Agreement, the "Exported Meditation" means the single finished meditation audio file or meditation project created through the ZENmix Studio that includes Studio Export Content and for which this Studio Export License was purchased.

By purchasing, exporting, downloading, or using the Studio Export Content, you agree to be bound by the terms of this Agreement. If you do not agree with any of the terms, you should not use the Studio Export Content.

License Grant

ZENmix grants you a non-exclusive, non-transferable, revocable, royalty-free license to use the Studio Export Content for personal, non-commercial, or commercial purposes, but only as incorporated into the single Exported Meditation for which this license was purchased.

This license does not grant you general use rights to the underlying music, sounds, or other ZENmix content. You may not use the Studio Export Content in any other meditation, recording, video, app, course, product, client project, live session, download, stream, or standalone audio unless you obtain a separate license.

This license is personal to the original Licensee, whether an individual or a business entity, and cannot be transferred, assigned, or conveyed to any other party, whether through sale of assets, merger, acquisition, or any other means. Any attempt to transfer rights to the Studio Export Content without explicit written permission from ZENmix shall constitute a material breach of this Agreement.

Usage Rights:

• Personal Use: You may use the Exported Meditation in your personal projects.
• Commercial Use: You may use the Exported Meditation in commercial projects. You can sell your work using the Exported Meditation.
• You may use the Exported Meditation with your clients, students, patients, audience, or customers.
• You may sell, share, stream, publish, distribute, bundle, or include the same Exported Meditation in your own courses, apps, bundles, memberships, downloads, client programs, videos, podcasts, or similar finished offerings.
• You may use the Exported Meditation as a finished meditation, guided meditation, relaxation audio, course lesson, app session, video soundtrack, podcast episode, or similar finished work.
• Playback of the Exported Meditation in commercial venues, such as spas, therapy practices, medical offices, hotels, restaurants, gyms, yoga studios, schools, and similar, is permitted for one physical location per license. This includes use in live sessions or livestreams, such as Zoom or YouTube, from that location.
• Online sessions using the Exported Meditation, such as Zoom therapy or YouTube classes, are allowed if streamed or operated from the licensed location.
• Attribution is not required.

This license applies only to the specific Exported Meditation created through the ZENmix Studio. It does not allow you to reuse the Studio Export Content in other projects. A separate license is required for each additional meditation or finished work that uses ZENmix music or sounds.

Prohibitions:

1. You are NOT allowed to use the Studio Export Content outside of the single Exported Meditation for which this license was purchased.
2. You are NOT allowed to extract, isolate, separate, copy, sample, remix, edit, loop, or reuse the underlying music or sounds from the Exported Meditation for any other purpose.
3. You are NOT allowed to use the Studio Export Content as standalone music, background music, stock music, production music, loop material, sound library content, templates, source material, or as part of another project.
4. You are NOT allowed to extract, reuse, or repurpose the Studio Export Content to create a different finished work unless that additional use is separately licensed. You may, however, sell, share, stream, publish, distribute, bundle, or include the same Exported Meditation in your own courses, apps, bundles, memberships, downloads, client programs, or similar finished offerings.
5. You are NOT allowed to resell or redistribute the Studio Export Content as is, in whole or in part, including making the underlying music or sounds downloadable, selling them as music, offering them as stock audio, or distributing them separately from the Exported Meditation.
6. You can NOT use the Studio Export Content in any illegal manner or in a way that infringes on any intellectual property rights.
7. You can NOT license or sublicense the Studio Export Content to any third party.
8. You can NOT use the Studio Export Content for offering services or products similar to ZENmix, including music libraries, sound libraries, stock audio platforms, audio-generation tools, meditation music generators, or music export services.
9. You can NOT claim ownership or copyright of the Studio Export Content, the underlying music, or the underlying sounds.
10. You can NOT distribute the Studio Export Content as an audio-only music product to Spotify Music, Amazon Music, Apple Music, iTunes, and similar music stores, or through music distributors such as DistroKid, Amuse, RouteNote, or similar services. This restriction does not prevent you from publishing the Exported Meditation itself as a guided meditation, spoken-word meditation, podcast-style episode, video, course lesson, app session, or similar finished work, provided the Studio Export Content is not offered as standalone music.
11. You can NOT grant a user or customer of the Exported Meditation any rights beyond normal consumer use, personal listening, or normal participation in your meditation, class, course, session, app, or similar finished work. Your users or customers may not extract, download, reuse, remix, sublicense, redistribute, or publish the Studio Export Content separately from the Exported Meditation.
12. You can NOT use the Studio Export Content, in whole or in part, for training, pre-training, fine-tuning, testing, evaluating, benchmarking, or otherwise developing any artificial intelligence, machine learning, deep learning, or generative model or system, or for creating, enriching, or contributing to any dataset used for such purposes. All rights regarding text and data mining, artificial intelligence, and machine learning use of the Studio Export Content are expressly reserved by ZENmix.
13. You are NOT allowed to use the Exported Meditation for live playback in more than one physical location, including background music, therapy sessions, or classes, without a separate license for each venue.

Ownership

All Studio Export Content provided by ZENmix remains the property of ZENmix and its composers. This Agreement does not grant you any ownership rights to the Studio Export Content, the underlying music, or the underlying sounds, only a limited license to use them as part of the Exported Meditation under the terms specified.

Your original voice recordings, scripts, spoken words, or other original material included in the Exported Meditation remain yours, provided they do not include or infringe third-party rights.

Termination:

ZENmix reserves the right to terminate this Agreement and revoke your license if you breach any terms of this Agreement or your purchase is undone, e.g. by chargeback, dispute, or a refund. Upon termination, you must immediately cease all use of the Studio Export Content and any Exported Meditation containing it, and delete or destroy any copies in your possession to the extent continued use would rely on the revoked Studio Export Content license.

Warranty Disclaimer

The Studio Export Content is provided "as is" without warranties of any kind, either expressed or implied. ZENmix disclaims all warranties, including but not limited to implied warranties of merchantability and fitness for a particular purpose.

Limitation of Liability

In no event shall ZENmix be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or related to your use of the Studio Export Content or the Exported Meditation, even if ZENmix has been advised of the possibility of such damages.

Indemnification

You agree to indemnify and hold harmless ZENmix, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Studio Export Content or the Exported Meditation.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law principles.

Changes to This Agreement

ZENmix reserves the right to modify this Agreement at any time. Any changes will be posted on our Website, and your continued use of the Studio Export Content following such changes constitutes your acceptance of the updated terms.

Any license files included in downloads or exports are for reference only and may not reflect the most recent terms and conditions; these files may become outdated over time. The most current and legally binding version of this Agreement is always the one available on our website [zenmix.io].

Severability

If any provision of this Agreement is found to be unenforceable or invalid, such provision shall be severed from the Agreement. The remaining provisions shall continue in full force and effect. The severed provision shall be replaced with a valid provision that most closely matches the intent of the original provision.
